2. Who These Terms Apply To

These Terms apply to anyone who accesses or uses this website.

Certain provisions also apply to organisations that engage us to provide marketing, consultancy, technology, implementation or related services.

Unless we expressly agree otherwise in writing, our professional services are supplied to businesses, organisations and professionals acting in the course of their business or professional activities and are not intended to be consumer services.

Where we enter into a separate written agreement, proposal or statement of work with a client, that document may contain additional or different terms. If there is a conflict, the terms specifically agreed for that engagement will take precedence to the extent of that conflict.

3. Our Services

We provide business growth, marketing, consultancy, implementation and related services. Depending upon the engagement, these may include:

  • marketing strategy and practice-growth consultancy;
  • website and content strategy;
  • search engine optimisation and local search optimisation;
  • AI and answer-engine visibility;
  • reputation and review systems;
  • lead capture and enquiry-management systems;
  • marketing automation;
  • CRM configuration and implementation;
  • telephone, SMS and digital enquiry systems;
  • AI-assisted administrative and reception systems;
  • content creation, distribution and amplification;
  • analytics, reporting and performance monitoring;
  • training, frameworks, methodologies and strategic advisory services; and
  • other services agreed with a client.

The precise scope, deliverables, timetable and fees for a client engagement will normally be specified separately in a proposal, order form, statement of work or service agreement.

4. Professional and Regulated Practices

Some of our clients operate in regulated or professionally governed sectors, including healthcare, counselling, psychotherapy, psychology and related professional services.

Our services are intended to support the commercial, administrative and marketing activities of those organisations. We do not provide clinical, medical, therapeutic or other regulated professional services to their patients or clients.

Unless expressly agreed otherwise in writing, responsibility for clinical governance, professional compliance, advertising compliance and decisions concerning patient or client care remains with the relevant practice or professional.

We may design systems with professional, ethical and regulatory requirements in mind, but our services do not replace advice from a client’s professional body, regulator, data protection adviser or legal adviser.

Clients remain responsible for reviewing and approving claims about their qualifications, services, outcomes, accreditations and professional capabilities before publication.

5. Homeorhesis and Proprietary Frameworks

We may use proprietary methodologies, frameworks, diagnostic processes, systems and intellectual property in delivering our services, including the Homeorhesis I.M.P.A.C.T. Protocol™ and associated materials.

Unless expressly transferred under a written agreement, all intellectual property rights in our underlying frameworks, methodologies, processes, templates, diagnostic tools, models, training materials, documentation and know-how remain our property or that of our licensors.

Paying for our services does not transfer ownership of our underlying methodology or intellectual property.

Where appropriate, clients receive a licence to use materials created for them for their own internal business and operational purposes, subject to the terms of their individual agreement with us.

6. No Guarantee of Commercial Results

Marketing and business growth are affected by many factors outside our control.

Accordingly, while we will provide our services with reasonable care and skill, we do not guarantee any particular:

  • search engine position;
  • AI or answer-engine citation;
  • number of enquiries;
  • conversion rate;
  • revenue increase;
  • return on investment;
  • number or quality of reviews;
  • media placement;
  • advertising performance;
  • appointment volume; or
  • other commercial outcome.

Any forecasts, projections, examples, case studies or estimates are provided to illustrate potential outcomes or inform decision-making. They are not guarantees that the same results will be achieved in another business.

7. Third-Party Platforms and Services

Our services may involve or integrate with third-party software and platforms, including CRM systems, practice management systems, search engines, advertising platforms, telecommunications providers, payment processors, automation services, artificial intelligence services and social media platforms.

Those services are operated independently of us and may change their functionality, pricing, APIs, policies, algorithms or availability without notice.

We cannot guarantee the continued availability, functionality or performance of a third-party service.

Where a client maintains its own account with a third-party provider, the client’s use of that service will also be subject to the provider’s terms and privacy policies.

We are not responsible for outages, changes or failures caused by third-party services where those matters are outside our reasonable control.

8. Artificial Intelligence

We may use artificial intelligence and AI-assisted tools as part of our research, content, administrative, analytical, automation or service-delivery processes.

AI-generated or AI-assisted output may contain errors and should not automatically be treated as authoritative.

Where material concerns regulated professional services, clinical information, legal obligations or other matters requiring professional judgement, appropriate human review remains necessary.

Unless specifically agreed as part of an approved system, our marketing systems are not intended to replace clinical judgement, diagnosis, treatment decisions or emergency services.

9. Client Responsibilities

Where you engage us to provide services, you agree to provide information, access, approvals and cooperation reasonably necessary for us to perform those services.

You are responsible for ensuring that information supplied to us is accurate and that you have the right to provide and use it.

You are also responsible for reviewing and approving material requiring your professional or regulatory judgement before publication.

Delays in providing information, access or approvals may affect delivery times and results.

10. Data Protection

Each party is responsible for complying with applicable data protection legislation in relation to personal data for which it acts as controller.

Where we process personal data on behalf of a client, the parties may enter into appropriate data-processing terms or a Data Processing Agreement where required.

For clients operating healthcare or therapy practices, our systems should, wherever reasonably practicable, maintain an appropriate separation between marketing and enquiry-management information and clinical records.

Clinical and special-category personal data should only be processed through systems and workflows specifically approved for that purpose.

Further information about how we process personal information is contained in our Privacy Policy.

11. Confidentiality

Information supplied to us by a client and identified as confidential, or which would reasonably be regarded as confidential, will be treated accordingly.

This obligation does not apply to information which:

  • is already publicly available through no breach by us;
  • was lawfully known to us before disclosure;
  • is received lawfully from another source;
  • is independently developed without reference to the confidential information; or
  • must be disclosed by law or by a competent regulatory or governmental authority.

Equivalent confidentiality obligations may be included in individual client agreements.

12. Fees and Payment

Fees, payment schedules and any recurring charges will be set out in the relevant proposal, order form, invoice, subscription arrangement or service agreement.

Unless otherwise stated, invoices are payable within [7/14/30] days.

Where services are supplied on a recurring basis, fees will continue until the arrangement is terminated in accordance with the applicable agreement.

We may suspend services for materially overdue payments after providing reasonable notice.

Third-party expenditure, including advertising spend, software subscriptions, telephone charges, media costs or other external costs, is payable by the client where specified in the relevant agreement.

13. Cancellation and Termination

Cancellation and termination arrangements for paid services will be specified in the applicable proposal, order form or service agreement.

Where no separate terms have been agreed, either party may terminate an ongoing monthly service by giving [30 days’] written notice.

Termination does not affect fees properly due for services already performed, committed third-party expenditure, or other rights that arose before termination.

Any provision intended by its nature to continue after termination, including provisions concerning intellectual property, confidentiality, accrued payment obligations and limitations of liability, will continue to apply.

14. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in this website and in our pre-existing business systems, methodologies, frameworks, processes, templates, training materials and proprietary documentation belong to us or our licensors.

You may view and use this website for legitimate personal or business purposes.

You may not, without permission:

  • reproduce substantial portions of our content;
  • sell or commercially redistribute our materials;
  • present our proprietary methodologies as your own;
  • remove copyright, trade mark or proprietary notices;
  • reverse-engineer proprietary tools or systems where prohibited by law; or
  • use our materials to create a substantially competing commercial product or training programme where doing so infringes our intellectual property rights.

Nothing in these Terms transfers ownership of our trade marks, brands, methodologies or other proprietary intellectual property.

15. Client Materials

Clients retain ownership of intellectual property they provide to us, including their trade marks, logos, photographs, existing copy and proprietary materials.

By supplying such material, the client grants us the permission reasonably necessary to use it to perform the agreed services.

The client confirms that it has the necessary rights and permissions to provide those materials to us.

16. Portfolio and Case Studies

We will not disclose confidential client information without permission.

Where appropriate, we may wish to refer to completed work, results or client relationships in our portfolio, marketing or case studies.

Where such use would identify the client or disclose non-public information, we will obtain appropriate permission before publication.

Any separate confidentiality agreement takes precedence over this provision.

17. Website Information

We make reasonable efforts to keep information on this website accurate and current.

However, website content is provided for general information and does not constitute legal, financial, medical, clinical or other regulated professional advice.

You should obtain appropriate professional advice before acting on information where your circumstances require it.

18. External Links

Our website may contain links to third-party websites or resources.

Links are provided for convenience and information. Unless expressly stated otherwise, a link does not mean that we endorse, control or accept responsibility for the third-party website or its content.

19. Website Availability and Security

We aim to maintain a reliable and secure website but cannot guarantee uninterrupted or error-free access.

We may suspend, withdraw, restrict or change parts of the website where reasonably necessary for maintenance, security, technical or business reasons.

You must not knowingly:

  • introduce malware or malicious code;
  • attempt unauthorised access to our website, servers or systems;
  • interfere with the operation or security of the website;
  • scrape or extract data in a manner that infringes our rights or applicable law; or
  • use the website for unlawful purposes.

20. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Where services are supplied to a business client, and subject to any different provisions contained in the relevant service agreement, we will not be liable for indirect or consequential losses, loss of anticipated profit, loss of business opportunity, loss of goodwill or losses resulting solely from matters outside our reasonable control.

Any limitation of liability contained in a specific client agreement will apply to that engagement.

Nothing in these Terms is intended to exclude rights or remedies which cannot lawfully be excluded.

This section should be reviewed particularly carefully by your solicitor to determine an appropriate financial liability cap and to ensure that exclusions are reasonable for the services you provide.

21. Force Majeure

Neither party will be responsible for delay or failure to perform an obligation where that delay or failure results from circumstances beyond its reasonable control.

This may include significant telecommunications failures, widespread internet outages, natural disasters, governmental action, industrial disputes, cyber incidents affecting third-party infrastructure, or failure of critical third-party services outside the affected party’s reasonable control.

This provision does not remove obligations which cannot lawfully be excluded.

22. Changes to These Terms

We may update these Terms from time to time, including where our services, technology or legal obligations change.

The version displayed on this website will state when it was last updated.

Changes to website-use terms apply from publication.

Changes to an existing client contract will only take effect in accordance with the applicable contract and law and will not automatically alter previously agreed contractual rights simply because these website Terms have been updated.

23. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

24. No Waiver

A failure or delay in exercising a contractual right does not automatically mean that right has been waived.

25. Third-Party Rights

Unless expressly stated otherwise, a person who is not a party to an agreement governed by these Terms has no right to enforce it under the Contracts (Rights of Third Parties) Act 1999.

26. Governing Law and Jurisdiction

These Terms and any dispute or claim arising from them are governed by the laws of England and Wales.

Where the contract is between us and another business, the courts of England and Wales will have exclusive jurisdiction, unless otherwise agreed in writing.

Nothing in this section is intended to remove any mandatory jurisdictional rights which apply by law.
